Job Description The Deputy General Counsel assists the General Counsel in managing and overseeing the Legal Department, creating new investment products, preparing required disclosures for products offered and managed by American Beacon Advisors, inc., reviewing and negotiating contracts, and handling a variety of legal matters related to products and services offered by the firm.
Key Responsibilities
Legal review and guidance related to required investment advisor and mutual fund/ETF disclosure, including updates and supplements to mutual fund/ETF prospectuses and statements of additional information.
Legal review and guidance related to proxy materials.
Prepare, review and negotiate various legal contracts, including closing documents, investment management agreements, ISDAs and related trading agreements, distribution agreements, and private placement agreements.
Provide legal counsel and assistance with matters related to the firm’s products and services, including mutual funds, interval funds, exchange traded funds, collective investment trusts, and distribution services to third parties.
Assist with matters related to Resolute Investment Distributors, Inc., an affiliated broker dealer.
Prepare Board materials and/or address issues related to the Board of Trustees of the American Beacon family of Funds.
Assist with new product development and onboarding.
Coordinate legal research.
Requirements
J.D. degree and 8–10+ years of experience in the securities practice area of a law firm or as in‑house counsel in an investment-related business.
Proficiency in technical research and writing, including ability to create, edit and present.
Proficient knowledge of computer systems including MS products (Word, Excel and PowerPoint).
Excellent analytical skills with proven ability to interpret and communicate complex concepts.
Action‑oriented, timely and organized with ability to prioritize workload with high degree of accuracy and attention to detail.
Works independently and performs a variety of tasks in a team environment.
Ability to coach and guide others.
