SALT M&A Senior Tax Manager, Tax Transaction Advisory
at Crowe This role leads state and local tax (SALT) aspects of mergers, acquisitions, restructurings, and complex corporate transactions. It combines deep SALT technical knowledge with transaction experience, client advisory skills, and engagement leadership. Responsibilities
Lead analyses related to state corporate income/franchise tax, sales & use tax, gross receipts taxes, and unclaimed property. Evaluate nexus, apportionment, unitary/combined reporting, state conformity, and planning strategies. Oversee controversy matters including audits, voluntary disclosures, and appeals. Review technical memos, ASC 740-10 (FIN 48) analyses, and client deliverables. Manage SALT due diligence to identify risks and tax exposures. Advise on transaction structuring, including stock vs. asset acquisitions, 338(h)(10), and 336(e). Model state tax impacts of mergers, acquisitions, carve-outs, and dispositions. Support integration planning and post-close tax strategy. Lead entity rationalization and legal entity simplification projects. Advise on state tax implications of reorganizations (D, F, spin-offs), debt restructurings, and bankruptcy scenarios. Develop cash tax impact models and other forecasting tools. Lead multiple engagements and cross-functional teams; mentor staff; oversee quality and delivery; communicate findings to C-suite; support business development; build cross-service-line relationships. Qualifications
8–12+ years of progressive tax experience in public accounting, consulting, or corporate tax. Minimum 5 years specializing in State & Local Tax, ideally within a transaction-focused environment. Experience managing M&A, restructuring, or large-scale corporate transactions. Strong technical writing skills, including tax memos, due diligence reports, and opinion letters. Proven ability to manage and mentor teams, oversee workflows, and lead complex engagements independently. Exceptional communication and client advisory skills with experience presenting to senior executives. Advanced Excel skills, including modeling; macros a plus. Proficiency in PowerPoint and data analysis tools (Power BI, Alteryx). Experience with tax research platforms such as Bloomberg Tax, CCH, Checkpoint, and BNA.
