About the Role We are looking for a Legal Counsel, Transactions to join our legal team. Reporting directly to the General Counsel, you will be Matter Labs’ principal in‑house legal advisor for a broad range of product, commercial, corporate, and compliance matters. Primary work will be partnering with our engineering team on products. Additionally, you will handle simple contracts (vendor agreements, NDAs) and cross‑border commercial agreements, and you will work on global IP, privacy, and employment matters.

What You'll Be Doing

Provide expert advice on product development, privacy, data protection, and intellectual property matters.

Review, negotiate, and draft simple commercial agreements and technology transactions.

Counsel internal clients on legal and compliance policies related to proposed transactions.

Advise on global employment matters and draft policies in partnership with the People Team.

Support the General Counsel with various duties as delegated.

What We Look For In You

3–5 years as a lawyer with experience at top‑tier law firms and in‑house roles, especially in international product counseling, corporate transactions, and technology. Experience with SOC2, GDPR, employment, or IP is a plus.

Legally qualified to practice law in your jurisdiction.

Experience in the crypto space is required.

Proven cross‑border experience, or willingness to learn handling legal issues across jurisdictions.

Excellent commercial acumen and a pragmatic, solution‑oriented mindset.

Strong interpersonal skills and high emotional intelligence.

Effective collaboration with diverse stakeholders.

Self‑motivated, flexible, proactive, and capable of managing complex matters with minimal supervision.

Fluency in English (additional languages a plus).

Strong academic credentials from a top‑tier institution.
