Abercrombie & Kent USA is seeking an experienced attorney to join the legal team as In-House Legal Counsel in Aventura, Florida. The role plays a crucial part in supporting the company’s growth and managing risk across a global organization that includes parent company A&K Travel Group, Abercrombie & Kent, and Crystal Cruises.

Position Summary As In-House Legal Counsel you will partner with business functions to support growth while helping the in‑ legal team manage risk. This position is ideal for a detail‑oriented attorney comfortable in a fast‑paced, pragmatic environment with a strong background in M&A and complex capital‑raising transactions. The role requires leading M&A projects, managing corporate governance, drafting commercial contracts, ensuring regulatory compliance (including data protection legislation), supporting intellectual property portfolio, advancing dispute resolution and collection efforts, and addressing any other legal matters that arise.

Responsibilities and Accountabilities

Lead and execute mergers and acquisitions transactions at a global level, including conducting legal due diligence, drafting and negotiating transaction documents, advising on deal structure and regulatory considerations, coordinating with cross‑functional teams, and managing the closing and post‑closing process.

Lead or support corporate governance requirements and complete filings, including working with group companies worldwide to ensure compliance.

Coordinate and manage business acquisitions and disposals with outside counsel, in‑house legal team, and internal stakeholders.

Draft, review, and negotiate all manners of commercial contracts, including technology and procurement contracts.

Assist the in‑house legal team with a wide range of legal projects in a support role or as project lead, answering general legal questions, supporting dispute resolution and collection efforts, assisting with intellectual property registrations, developing terms and conditions or other contracts from scratch, researching various legal or business issues, helping with operations or policies and procedures.

Provide pragmatic legal advice and timely action on a wide range of legal work beyond your existing experience.

Support the legal team’s continuous improvement efforts by maintaining group databases, developing templates, and enhancing internal processes and workflows to increase efficiency and strengthen form agreements.

Effectively work alongside other departments across the company, including HR, Finance, Sales, Marketing, and IT.

Provide practical and actionable advice on project status, legal risks, and legal liabilities associated with a wide range of legal issues to relevant internal stakeholders and the in‑house legal team.

Research and anticipate legal issues that could impact the group.

Skills and Abilities

Strong analytical, writing, interpersonal, and presentation skills required. Must be able to communicate effectively with others at all levels of the organization.

Strong demonstratable track record and comfort with immediately stepping in and taking the lead on M&A transactions.

Cruise or travel industry experience highly preferred. As a minimum, experience operating in a highly regulated industry.

Exceptional organization, prioritization, problem-solving, and collaboration skills.

Ability to work in a fast‑paced, dynamic environment, producing pragmatic, and actionable legal work product.

Proficiency in Microsoft Outlook, Word, Excel, and PowerPoint programs.

Works in a typical office environment with quiet‑to‑moderate noise generated by computer printers, fax machines, and light traffic.

Education and Additional Experience

3–7+ years of M&A and corporate experience in a respected large law firm and/or in‑house.

The ideal candidate has successfully led at least 7 M&A transactions from inception through closing, demonstrating the ability to manage all stages of the deal lifecycle from initial structuring and due diligence to negotiation, documentation, regulatory coordination, and final execution.

Additional experience with securities, insurance, or privacy law and regulation preferred, but not required.

A law degree from a recognized university.

Special Requirements

3–7+ years of corporate experience in a respected large law firm and/or in‑house.

Experience in litigation required.

The position is full‑time and frequently requires working additional time outside of normal business hours.
