Position Description: Gemspring is looking for a highly motivated Senior Associate to join the Capital Markets group to support the Head of Capital Markets in structuring, executing, and managing debt financing activities across the firms portfolio and new investments. This is an opportunity to join an entrepreneurial team of professionals with an impressive blend of financial and operational experience. This individual will support deal teams, portfolio companies, and senior leadership in evaluating financing alternatives, optimizing capital structures, managing lender relationships, and ensuring smooth execution of all capital markets processes. The role requires strong technical skills, sound judgement, and the ability to operate both independently and within a fast-paced, entrepreneurial, deal-driven environment.
Key Responsibilities: Support the execution of debt financing transactions, including LBO financings, refinancings, add-ons, dividend recapitalizations, and amendments. Prepare and review financing materials, including lender presentations, capital structure analyses, and process timelines. Coordinate with investment teams, legal counsel, lenders, and advisors to drive financing processes from start to finish. Evaluate optimal capital structures for new and existing portfolio companies. Monitor credit markets, lender appetite, pricing dynamics, and deal terms to inform financing strategies. Maintain strong relationships with banks, direct lenders, rating agencies (as applicable), and other capital providers. Support the development of lender relationship strategies and maintain internal databases on lender preferences, terms, and transaction histories. Work closely with investment teams throughout diligence to evaluate financing feasibility and implications. Provide credit market insights that shape valuation, structuring, and deal thesis development. Assist in reviewing and negotiating financing documentation (term sheets, grids, credit agreements, and intercreditor agreements). Support ad hoc projects, including refinancing analyses, dividend recapitalizations, and capital markets strategy planning.
Key Qualifications 36+ years of relevant experience in leveraged finance, capital markets, private credit, investment banking, or private equity. Direct experience with leveraged buyouts, credit underwriting, and debt financing transactions strongly preferred. Deep understanding of financing instruments (TLB, unitranche, mezzanine, ABL, preferred equity, etc.). Ability to interpret and analyze credit agreements, term sheets, and legal documents. Excellent communication skills, including the ability to present financing strategies and market views clearly and confidently. Highly organized with the ability to manage multiple processes simultaneously. Strong attention to detail and a high degree of ownership. Collaborative mindset with the ability to work across teams and with senior stakeholders.
