Job Description This Corporate/Commercial Counsel will join a small legal team and focus on commercial contracts. As a part of this team, you will be the main point of contact for all contract matters from internal business units, vendors, and third parties. You will gain valuable experience with a recognized global tech leader working on international commercial contracts with Fortune 100 companies as clients/customers/partners. You will also provide support for key business initiatives and transactional process improvements reporting directly to the General Counsel.
This is a hands‑on role in which you will interact daily with customers, vendors, partners, senior executives and other internal clients across multiple organizations including Sales, Finance, and Logistics.
Responsibilities Duties include but are not limited to:
Structure, review and negotiate a variety of commercial agreements including but not limited to NDAs, MSAs, vendor contracts, reseller agreements, licensing agreements, and contracts involving complex and evolving issues
Demonstrate a high level of attention to detail in reviewing, drafting and managing commercial contracts
Manage risk and ensure business and compliance needs are accurately reflected in agreement(s)
Opportunity to contribute to privacy and corporate compliance initiatives
Respond promptly to the demands of an active sales and logistics team on a global scale
Act as the point of contact for all internal business unit questions regarding contracts
Ad hoc corporate legal projects as assigned
Required Skills and Qualifications
Juris Doctorate or equivalent from an accredited major law school and licensed to practice in the United States – California preferred
5‑7+ years of commercial contract experience in an attorney capacity with some in‑house commercial licensing experience preferred
Demeanor to thrive in a fast‑paced sales focused environment, requiring exceptional organizational skills, juggling priorities, and adhering to strict deadlines
Must have commercial experience in the hardware, software, VAR or similar industry
Experience with contract management software solutions is a plus
Strong attention to detail
Significant experience relating to tax, import/export, privacy, security, HIPAA, GDPR, and/or intellectual property rights etc. is a plus
International licensing/commercial contracts experience is a plus
Excellent verbal, written, and social communication skills
Familiarity and experience with AI based contract review platforms
Has intellectual curiosity and a desire for continuous learning
Able to deal with ambiguity and develop creative and pragmatic solutions for complex and evolving issues in a rapidly changing environment
Demonstrates consistently good judgment and impeccable integrity
