Corporate Counsel
Providence Health & Services is seeking a Corporate Counsel to provide strategic legal counsel in complex and dynamic healthcare transaction environments.
Responsibilities
Craft, review, and negotiate a diverse array of commercial contracts, from vendor agreements to intricate partnership documents.
Identify and manage legal and business risks associated with contracts and transactions, ensuring alignment with strategic goals.
Develop and implement contracting policies and standard templates to streamline organizational processes.
Lead the drafting and negotiation of complex transaction documents, focusing on mergers, acquisitions, and various business alliances.
Provide counsel related to regulatory compliance and ensure adherence to healthcare laws, such as the Stark Law and HIPAA.
Work closely with finance, operations, and compliance stakeholders to align transactions with business objectives.
Conduct thorough legal due diligence in corporate transactions, ensuring a comprehensive understanding of all legal aspects.
Collaborate within DLA to optimize legal services delivery and manage resources effectively.
Qualifications
Juris Doctor degree from an accredited law school and an active legal practice license in California, Washington, Alaska, New Mexico, Texas, Montana or Oregon.
Over 10 years of relevant experience (law firm experience is a plus) focusing on transactions, commercial contracting, and healthcare‑related legal matters.
Superior skills in drafting and negotiating agreements, especially in mergers, acquisitions, corporate finance transactions, joint ventures, strategic alliances, and internal reorganizations.
Experience with entity formation, corporate finance, health care organizations, for‑profit as well as non‑profit transactions.
Ability to assess and weigh business and legal risks, providing practical solutions in complex environments.
Ability to provide sound and practical advice on legal and business matters in a fast‑paced environment to a broad range of business teams.
Exceptional written and verbal communication skills, capable of conveying complex legal concepts clearly.
Proven ability to work effectively with diverse teams across legal and business domains.

Redmond, WA or Renton, WA or Irvine, CA – Min: $78.33 • Max: $138.50
Portland, OR or Anchorage, AK – Min: $75.14 • Max: $132.87
Missoula, MT or Hobbs, NM – Min: $60.50 • Max: $106.97
Lubbock, TX – Min: $57.31 • Max: $101.34
