What You'll Do We're profitable, revenue‑fueled, and scaling fast—154 MW operating today, 250+ MW next year, and targeting an IPO in our future. But speed without legal infrastructure is a risk. As our first General Counsel, you'll build the legal foundation that protects us as we scale and position us for public markets.

This isn't a maintenance role. You'll architect legal, compliance, and governance systems from scratch for a business that spans energy development, manufacturing, data center operations, and international supply chains. You'll negotiate major customer contracts, structure complex real estate and power deals, navigate multi‑jurisdictional regulatory requirements, and prepare us for SEC scrutiny.

You’ll be the strategic legal partner to our CEO, translating business velocity into defensible legal frameworks. If you've taken a company public and want to do it again in a category‑defining infrastructure business, this is your opportunity.

Where you'll work: Remote. Regular travel to our operational sites and global offices for off‑sites and meetings.

Responsibilities

Serve as strategic legal advisor to CEO, executive team, and Board of Directors

Build and lead the legal function from ground up, including hiring and managing legal team and outside counsel

Prepare company for IPO including SEC compliance, corporate governance, board processes, and S‑1 preparation

Negotiate and structure major customer contracts, power purchase agreements, and site development deals

Manage all corporate governance matters including board meetings, equity administration, and corporate housekeeping

Oversee regulatory compliance across energy, environmental, data center, and manufacturing regulations in multiple jurisdictions

Lead M&A due diligence, structuring, and integration for strategic acquisitions

Develop and implement compliance programs for SOX, export controls, and international operations

Structure and negotiate real estate transactions including land acquisitions, easements, and development agreements

Manage intellectual property strategy including patents, trademarks, and trade secrets related to our manufacturing capabilities

Draft and negotiate vendor agreements with international manufacturing partners in China and India

Handle employment law matters, equity compensation plans, and executive agreements

Oversee litigation strategy and manage outside litigation counsel

Advise on fundraising activities including term sheet negotiations and investor documentation

Requirements

JD from accredited law school; active bar membership in good standing

10+ years legal experience with at least 5 years as General Counsel, Deputy GC, or senior legal leader at a growth‑stage company

Proven track record taking a company through IPO process including SEC filings, S‑1 preparation, corporate governance, and public company compliance

Deep expertise in corporate law, securities law, M&A, and commercial contracts

Experience with infrastructure, energy, real estate, or manufacturing businesses and related regulatory frameworks

Strong understanding of corporate governance, board dynamics, and fiduciary duties

Track record building legal functions from early‑stage through public company scale

Ability to balance risk management with business velocity—know when to say yes, no, and "yes if"

Experience negotiating complex, high‑value commercial agreements with enterprise customers

Hands‑on operator who can draft contracts, negotiate deals, and provide practical legal guidance

Exceptional business judgment and ability to translate legal concepts for non‑legal audiences

Experience managing international operations and cross‑border transactions

Bonus Points

Data center, energy development, or infrastructure sector experience

Background with manufacturing operations and supply chain agreements

Public company board or board committee experience

IPO experience specifically with infrastructure, hardware, or industrial companies

Experience with project finance, tax equity structures, or power market regulations

Familiarity with bitcoin mining, crypto, or emerging technology regulatory landscape

In‑house experience at both high‑growth startups and established public companies

Relationships with top securities law firms and corporate governance advisors
