The Global General Counsel (GGC) serves as FranklinWH’s senior legal executive responsible for company-level legal governance, capital markets support, and cross-border regulatory oversight. This role acts as a key legal advisor to the CEO and Board of Directors, with a focus on global structure, risk management, and long-term corporate readiness.
The GGC complements existing legal leadership by owning matters that are global, structural, and Board‑facing in nature, while working collaboratively with regional and functional legal teams. This is a hands‑on role requiring strong judgment, business acumen, and experience operating in high‑growth, multinational environments.
Key Responsibilities Corporate Governance & Board Support
Serve as the principal legal advisor to the CEO and Board of Directors on corporate governance and fiduciary matters
Support Board and committee governance, including resolutions, minutes, and compliance requirements
Oversee corporate secretarial and entity governance matters across all global subsidiaries, in coordination with local legal resources
Corporate & Strategic Transactions
Lead legal support for equity and debt financings, strategic investments, and potential M&A transactions
Support IPO preparedness, public‑company readiness, and securities law compliance
Partner closely with Finance, Investor Relations, and external counsel on capital markets–related matters
Commercial & Technology Legal (Global Scope)
Review, negotiate, and structure complex, high‑impact commercial agreements, including:
Manufacturing and supply‑chain frameworks
Global distribution and channel partner structures
Strategic partnerships and joint ventures
Technology licensing and platform‑related agreements
Advise on product liability, warranty structures, and enterprise‑level customer risk exposure
Global Compliance & Regulatory Oversight
Oversee compliance with applicable laws and regulations across the U.S., China, Australia, Japan, and other jurisdictions
Manage regulatory exposure related to clean energy, energy storage, trade compliance, export controls, and sanctions
Coordinate data privacy and cybersecurity compliance efforts, including GDPR, CCPA, and applicable global standards
Identify, assess, and mitigate legal and regulatory risks at the enterprise level
Manage material disputes, claims, and litigation in coordination with external counsel and internal stakeholders
Oversee corporate insurance programs, including D&O, EPLI, and general liability coverage
Legal Function Coordination
Work collaboratively with existing legal leadership to ensure clear ownership, escalation paths, and consistency across regions
Optimize use of external counsel and manage global legal spend related to corporate, governance, and capital matters
Establish scalable policies, templates, and governance processes to support long‑term growth
Qualifications
Juris Doctor (J.D.) from an accredited law school; active bar membership in at least one U.S. jurisdiction
12+ years of legal experience, including senior law firm experience and in‑house roles at a high‑growth or global technology or manufacturing company
Strong experience in corporate governance, venture or growth‑stage financing, and cross‑border transactions
Familiarity with clean energy, advanced manufacturing, or regulated industries preferred
IPO or late‑stage pre‑IPO experience highly desirable
Chinese language is a plus.
