Senior Corporate Counsel, Commercial
Locations: Minneapolis, MN; San Francisco, CA; Birmingham, AL
Job Summary Support and scale the commercial legal function, leading complex transactions, procurement operations, and contract lifecycle workflows across high‑growth teams.
Responsibilities
Draft, review, and negotiate a broad range of commercial contracts including retail partner agreements, SaaS, technology, logistics, advertising agency agreements, and professional services agreements.
Serve as legal lead for procurement and vendor contracting strategy, including onboarding, due diligence, and ongoing vendor management.
Own and enhance CLM operations, managing template governance, fallback positions, approval matrices, and clause libraries.
Lead legal review for third‑party partnerships, collaborations, and co‑branded offerings.
Advise stakeholders on key legal risks related to contract terms, data privacy, security, indemnity, limitation of liability, and regulatory issues impacting vendor relationships.
Develop legal enablement tools, trainings, and scalable contract playbooks; partner with InfoSec, Compliance, and Privacy teams on third‑party risk frameworks and data‑sharing requirements.
Identify process improvements and drive automation opportunities in commercial legal workflows.
Qualifications
J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction.
8+ years of legal experience focused on commercial transactions and vendor contracting, preferably with in‑house experience.
Deep understanding of commercial negotiation, operational contracting, and business risk allocation.
Experience working cross‑functionally with non‑legal stakeholders in fast‑paced environments.
Strong written and verbal communication skills with attention to detail and a collaborative mindset.
Familiarity with CLM tools (e.g., Lexion, Ironclad, DocuSign CLM) and contract automation frameworks.
Skills & Education Business Contracts, Legal Practices, Service Level Agreement (SLA), Vendor Contracts, Vendor Relationships.
Work Arrangement Hybrid model for candidates located near a Shipt office in Birmingham, San Francisco, or Minneapolis. Flexibility to work from home (with leader approval) or at a Shipt office, with in‑office expectations varying by role.

Pay Range Metro Areas of Boston, District of Columbia, Los Angeles, San Francisco, Seattle and New York City: $172,000–$344,000. All other locations: $152,000–$305,000.
