Compensation: $200,000.00-$400,000.00
Job Summary The Senior Counsel will work with colleagues in the Corporate section of a large corporate law department in a publicly traded, international energy company and will provide legal advice and services to the Finance/Treasury department (including Treasury/Cash Management, Tax, and Insurance) on a variety of matters.

Corporate Debt Offerings/S-3 Registration Statements/Supplemental Indentures
Tender Offers/Redemptions
Credit Facilities
Commercial Paper Programs
10b5-1 Trading Plans
Guaranties/Letters of Credit
Project Finance, Financial ISDAs
Corporate Law – Formation/Governance/Resolutions
Basic / Required
Legally authorized to work in the United States
Juris Doctorate degree from a law school accredited by the American Bar Association
Admission to the Bar of the State of Texas or other appropriate jurisdiction
7 or more years of legal experience with corporate matters
Preferred
Intermediate level of proficiency providing legal advice and services in connection with corporate financings commonly undertaken by a large international company
Intermediate level of knowledge of securities laws
Ability to exercise judgment and discretion regarding confidential and sensitive matters
Excellent negotiation, presentation, collaboration and diplomacy skills
Mature judgment and discretion – Ability to manage and prioritize assignments which may be broad in scope and complexity and which involve collaborative work with employees in different departments and/or with varying degrees of seniority
Excellent written and oral communication skills
Ability to work well under pressure, meet deadlines and function independently without extensive supervision
Ability to learn quickly and apply company policies, procedures, operations and industry practices
Ability to easily and effectively communicate with Legal management and internal business clients
Ability to work within broadly defined objectives
Strong individual initiative, discipline and commitment to superior performance and continuous improvement
Delivers results through realistic planning to accomplish goals
Listens actively and invites dialogue for shared understanding, then influences and acts to drive performance and achieve results
Builds strong relationships based on trust and seeks collaboration across organizational boundaries to achieve goals
