Responsibilities
Interact directly with Partners on matters related to client and engagement management
Model financial transactions for valuation, structuring and negotiation
Prepare detailed memoranda and presentations describing the key attributes of client companies and industries
Assist in the review and analysis of the tax aspects of acquisition and merger agreements and draft tax opinion letters and memoranda
Identify and analyze tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition and restructuring of businesses
Review, assess and advise clients regarding tax computations reflected in their financial models and assist with quantitative and qualitative analysis of tax data for the transaction
Gather data, review documents and prepare reports
Conduct research and financial analysis of target companies
Perform due diligence for both buy‑side and sell‑side transactions
Structure transactions for tax and accounting issues
Provide negotiation support
Communicate with business owners to ensure exceptional client service
Participate in various marketing and recruiting activities of the firm
Qualifications
Bachelor’s degree in finance, accounting or related field required; or a graduate degree and at least four years of related work experience
Five or more years of work experience in a mid‑ to large‑size professional services firm
Certified Public Accountant (CPA) or JD/LLM required
Experience in tax due diligence, deal structuring and post‑acquisition planning, and/or inbound and outbound transaction consulting with international tax research, planning and compliance
Demonstrated analytical, problem‑solving, organization, interpersonal, project management and communication skills, and highly developed Microsoft Suite skills
Strong written communication skills
Ability to provide exceptional client service, demonstrate commitment to continuous learning, exhibit appropriate ethical knowledge, and maintain a sense of urgency and quality in the timely completion of duties
The compensation range for this role is $130,000 to $215,000. Actual compensation is influenced by a variety of factors including but not limited to skills, experience, qualifications, and geographic location.
