Reporting to the General Counsel, this role will serve as a key member of ICSC’s legal team. Counsel will be responsible for a broad range of general corporate matters with a focus on drafting and negotiating contracts and advising cross-functional partners in Human Resources, Information Technology, Events, Marketing and Public Policy on a wide variety of topics. The position requires partnership and a solutions-oriented perspective.
Major Duties and Responsibilities:
Draft and review a wide range of commercial contracts (e.g., vendor/consulting agreements, hotel/venue agreements, separation agreements, sponsorships, donation agreements and SaaS agreements)
Work alongside other departments across the company and assist the General Counsel on wide-ranging issues relating to employment, finance, intellectual property, data privacy, marketing and ICSC’s US and Canadian Foundations
Assist the General Counsel with corporate governance matters and the execution of strategic initiatives
Analyze and research complex legal questions
Ensure ongoing compliance with data privacy, employment, non-profit and other laws and regulations affecting ICSC's business
Operationalize legal workflow and compliance initiatives
Maintain and update contract templates and guidelines
Maintain internal and external policies & procedures
Other legal duties as required or assigned
