Job Summary CFM is seeking Associates with experience advising private funds on formations, fundraising, and ongoing operations to join one of our offices in either the Bay Area or Denver. Familiarity with the Investment Advisers Act, the Investment Company Act, offshore funds, and parallel fund structures is a plus. Many clients blend traditional investment strategies (venture, debt, private equity) with non‑traditional assets, notably digital assets. Applicants should have an interest in analyzing and advising on novel legal issues without established precedent.
Responsibilities • Advise private fund clients on formation, fundraising, and ongoing compliance. • Draft transaction documents, compliance materials, and regulatory filings. • Provide legal analysis on fund structuring and emerging digital asset matters. • Collaborate with attorneys on cross‑functional matters and contribute to firm growth. • Maintain a billable target of 1,500 hours per year while enjoying significant flexibility and remote‑work options.
Requirements
Must be in good standing and admitted (or pending) with one of the following State Bars: CA, CO, or NY.
Minimum of 2 years legal experience relating to investment fund structuring, transactions, or regulatory compliance.
Strong analytical and communication skills.
Demonstrated interest in novel legal issues related to digital assets.
