Commercial Contracts Attorney for PortCo (SaaS & Professional Services) Company:
Portfolio Company providing proprietary technology and global marketing solutions. Key Responsibilities
Contract Drafting & Negotiation: Draft, review, and negotiate a broad range of commercial agreements, including SaaS agreements, SOWs, simple DPAs, vendor contracts, and more. Risk Management: Provide practical, business-oriented legal guidance while identifying and mitigating legal and operational risks. Cross-Functional Collaboration: Partner with Sales, Customer Success, Product, Security, Finance, and Compliance teams throughout the contract lifecycle. Template & Process Development: Support the AGC in the creation and refinement of contract templates, playbooks, and processes to drive consistency and efficiency. Legal Issue Guidance: Advise on key issues such as indemnification, liability limitations, intellectual property, licensing, and regulatory requirements. CLM Optimization: Give feedback that adds to the enhancement of contract lifecycle management (CLM) processes and tools. Industry Knowledge: Stay current on contracting best practices, SaaS trends, and evolving legal standards. Qualifications
Active Law License in good standing in any U.S. State 4–6+ years in commercial contracting, including SaaS and service-based agreements, preferably with in-house experience. Demonstrating understanding of SaaS business models, intellectual property, and data privacy considerations. Experience supporting technology-driven businesses and marketing platforms. Demonstrated experience w/ contract lifecycle management (CLM) tools and process optimization. Pay rate:
