The firm’s Technology Companies group is one of the most active in the country, advising a wide range of clients across their entire lifecycle—from startup to IPO or exit—and regularly partnering with top-tier venture capital investors.
Responsibilities The firm is currently hiring midlevel associates for its Technology Companies and M&A groups in its
Los Angeles
and
Santa Monica
offices. Depending on background and preference, associates will engage in one or both of the following areas:
Technology Companies – Lifecycle Practice (Los Angeles)
Represent founders and startups in entity formation, equity structuring, and corporate governance.
Lead early- and late-stage venture financings, including SAFEs, convertible notes, and Series A–D rounds.
Counsel clients on regulatory strategy, exit planning, and pre-IPO considerations.
Collaborate with partners and senior associates on cross-border and industry-disrupting transactions.
Technology Companies – M&A Practice (Santa Monica & Los Angeles)
Advise on strategic transactions, including mergers, stock and asset acquisitions, and tender offers.
Work with both startup clients and venture capital investors on buy‑side and sell‑side M&A.
Serve as a primary point of contact for deal negotiation, documentation, and closing.
Coordinate legal due diligence and manage key workstreams in fast‑paced deal environments.
Required Credentials
J.D. from a top‑tier law school
A minimum of 3–6 years of relevant legal experience at a peer law firm
Deep understanding of M&A or startup corporate work, with a strong grasp of market standards
Demonstrated ability to lead components of transactions and interface directly with clients
California Bar admission (or eligibility to obtain promptly)
Preferred Experience
Exposure to advising venture‑backed technology companies across multiple stages
Experience representing institutional investors or founders during funding rounds or acquisitions
Familiarity with public offering preparation and compliance is a plus, though not required
Strong business acumen, excellent drafting skills, and the ability to manage multiple workstreams independently
