Senior Counsel – Products and Platforms As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will be responsible for providing advice, counsel, and legal support in respect of the provision of technology products and platforms to EY clients. Your focus will be on advising, drafting, updating and negotiating client‑facing software licenses and SaaS agreements, artificial intelligence, big data, analytics, cloud computing, and providing internal legal advice to various EY technology and product teams from ideation through go‑to‑market.
Your Key Responsibilities
Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk, and keeping up to date with relevant legal developments.
Collaborate closely with other members of the US GCO and local counsel in other EY member firms.
Work with intellectual property counsel and procurement counsel on product and platform commercialization.
Coordinate with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary.
Understand and enhance existing EY policies relevant to technology products and platforms.
Advise internal product teams during new product and platform development.
Develop working knowledge of the full range of tools, products and platforms to provide effective counsel.
Manage workflow in a highly dynamic environment, remaining responsive, reliable, communicative, and accountable to team leadership.
Provide practical legal advice to internal product teams and business stakeholders.
Build relationships and team seamlessly with other GCO members to deliver exceptional legal service.
Develop and deliver training on product and platform agreements and best practices.
Continuously learn, contribute, and innovate in a dynamic space.
To Qualify, Candidates Must Have
7+ years of relevant technology‑related transactional experience in a client‑facing capacity, including drafting and negotiating product and platform agreements.
A strong background in supporting SaaS, software licenses, emerging technologies, and various go‑to‑market delivery models.
Experience developing contracting templates, playbooks, and standards.
Adept at leveraging legal and other collaboration tools and technology to optimize teaming.
Experience in data privacy, data security, licensing, and intellectual property law.
Experience with cross‑border contracting, including local country agreements and cross‑border data transfer.
Ability to understand, assess, and negotiate terms for current and new technologies (cloud and AI), explaining related legal and business risks practically.
Excellent communication (oral and written), negotiation, and interpersonal skills.
High degree of cultural and emotional intelligence, resilience, flexibility, and adaptability.
Ability to work independently and collaborate effectively with colleagues in other functions and locations.
Ability to articulate complex legal and contractual principles and balance risk from legal and commercial perspectives.
Highly responsive with the ability to manage high workload volumes and competing priorities efficiently.
Solution‑oriented focus on exceptional client service.
Experience in a product counsel role in a technology or consulting organization, leading negotiations.
Bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Membership in a State Bar as an attorney qualified to practice law.
Good standing with the applicable State Bar, including current continuing legal education requirements.
