The opportunity As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support on the provision of technology products and platforms to EY clients. Your focus will be on advising, drafting, updating, and negotiating client‑facing software licenses and SaaS agreements, artificial intelligence, big data, analytics, cloud computing, and other emerging technologies. You will also give internal legal advice and support to various EY technology and product teams throughout ideation, innovation, and go‑to‑market.

Your Key Responsibilities

Draft and negotiate client‑facing product and platform agreements, advising on contractual strategy and risk.

Collaborate closely with the US GCO and local counsel in other EY member firms.

Team with IP counsel and procurement counsel on product and platform commercialization.

Coordinate with cross‑functional business and internal support teams (Data Privacy, Information Security, Independence, Quality and Tax) as needed.

Understand and help enhance EY policies relevant to technology products and platforms.

Support internal product teams in developing new products and platforms.

Maintain a working understanding of the full range of tools, products and platforms to provide effective counsel.

Manage workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable to leadership.

Provide practicable legal advice in cross‑functional settings.

Build relationships with GCO members to deliver exceptional legal service to stakeholders.

Develop and deliver training on product and platform agreements, knowledge sharing, and best practice.

Continuously learn, contribute and innovate in a dynamic space.

To qualify, candidates must have

7+ years of technology‑related transactional experience, including drafting and negotiation of product and platform agreements.

Strong background in SaaS, software licenses, emerging technologies and go‑to‑market delivery models.

Experience developing contracting templates, playbooks and standards.

Adept at leveraging legal and other collaboration tools and technology.

Experience in data privacy, data security, licensing, and intellectual property law.

Experience with cross‑border contracting (including local country agreements and cross‑border data transfer).

Ability to assess and negotiate terms for current and new technologies (including cloud and AI) and explain related risks.

Excellent oral and written communication skills.

Excellent negotiation and interpersonal skills.

High cultural and emotional intelligence, resilience, flexibility and adaptability.

Capacity to work independently and team effectively with colleagues in other functions and locations.

Ability to articulate complex legal and contractual principles and balance commercial versus legal risk.

Highly responsive with the ability to manage high workload volumes and competing priorities efficiently.

Solution oriented with a focus on exceptional client service.

Experience in a product counsel role in a technology or consulting organization with leadership in negotiations.

A bachelor’s degree from an accredited 4‑year college.

Juris Doctor from an accredited law school.

State Bar membership as an attorney qualified to practice law.

Good standing with the applicable State Bar, including current CE requirements.

Base salary range for this role in the U.S. is $177,800 to $332,400. Salary ranges vary by geography (e.g., NYC, Washington State, California). Individual salaries are determined by a variety of factors including education, experience, skills and geography.
