The opportunity As Counsel for Technology & Managed Services, you will advise on the provision of managed services and other technology services to EY clients. Your focus will be on drafting, updating, negotiating client‑facing agreements, including managed services, outsourcing, systems implementation, application development & maintenance, software licenses, SaaS, AI, big data, analytics, cloud computing, and more.

You will work closely with the U.S. General Counsel Office and other EY jurisdictions, partnering with senior members and cross‑functional teams such as Data Privacy, Talent, Information Security, and Tax.

Your Key Responsibilities

Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk.

Advising on legal risks associated with the technology underpinning Managed Services Agreements.

Collaborating closely with other U.S. GCO members and local counsel in other EY member firms.

Coordinating legal resources on managed services projects.

Supporting coordination with cross‑functional business and internal support teams.

Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.

Understanding existing EY policies and developing or enhancing guidance relevant to managed services.

Managing workflow in a dynamic environment and maintaining reliability, communication, and accountability.

Building relationships and teaming seamlessly with other members of GCO.

Developing and delivering training on Technology & Managed Services Agreements.

To qualify, candidates must have

4+ years of complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and negotiating Technology & Managed Services Agreements.

Experience developing contracting templates, playbooks, and standards.

Experience in data privacy, intellectual property law, and technology provision in managed services agreements.

Experience with cross‑border contracting and related employee matters.

Ability to assess and negotiate terms for current and emerging technologies, explaining legal and business risks.

Excellent oral and written communication skills.

Excellent negotiation and interpersonal skills.

High cultural and emotional intelligence, resilience, flexibility, and adaptability.

Ability to work independently and collaboratively across functions and geographies.

Ability to articulate complex legal and contractual principles from both legal and commercial perspectives.

Highly responsive and able to manage a high workload.

Solution oriented with a focus on exceptional client service.

Experience in a managed services counsel role in a technology or consulting organization.

Bachelor’s degree from an accredited 4‑year college.

Juris Doctor from an accredited law school.

Membership in a State Bar as a qualified attorney.

In good standing with the applicable State Bar, current on continuing legal education requirements.
