The opportunity As Counsel for Technology and Managed Services, you will provide advice, counsel and legal support in respect of managed services and other technology services and products to EY clients, focusing on the drafting, updating and negotiation of client‑facing agreements related to managed services, outsourcing, system implementation, application development & maintenance, software licenses, SaaS, AI, big data, analytics, cloud computing, and other technology & managed services agreements.
You will be part of EY’s Technology and Managed Services legal group, working closely with other GCO groups in the United States and other jurisdictions, supporting senior team members.
The work is complex, often urgent and high in volume; it requires experience advising in a supplier‑side technology and outsourcing transactional legal role. The position calls for a background in managed services, outsourcing, SaaS, current market knowledge, and superior ability to manage multiple competing priorities in a compressed timeframe.
Your Key Responsibilities
Drafting, updating and negotiating client‑facing Technology & Managed Services Agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments.
Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
Collaborating closely with US GCO members and local counsel in other EY member firms.
Coordinating legal resources on managed services projects.
Supporting coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary.
Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.
Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services.
Managing workflow in a highly dynamic environment and remaining responsive, reliable, communicative, and accountable to leadership.
Building relationships and teaming seamlessly with other GCO members and Legal Practice Groups.
Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the network.
Qualifications
4+ years of relevant complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of Technology & Managed Services Agreements.
Experience developing contracting templates, playbooks and standards.
Experience in data privacy, intellectual property law and the use of technology in agreements.
Experience with cross‑border contracting.
Ability to understand, assess and negotiate terms for current and new technologies and explain related legal and business risks.
Excellent oral and written communication skills.
Excellent negotiation and interpersonal skills.
High degree of cultural and emotional intelligence.
Ability to work independently and team effectively with colleagues in other functions and geographic locations.
Ability to articulate and document complex legal and contractual principles, balancing risk from both a legal and commercial perspective.
Highly responsive with ability to manage high workload volumes and competing priorities efficiently.
Solution oriented with focus on exceptional client service.
Experience in a managed services counsel role in a technology or consulting organization.
A bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Membership in a State Bar qualified to practice law.
Good standing with the applicable State Bar, current on continuing legal education requirements.
