Essential Duties and Responsibilities
Assist in the formation, filing, maintenance, conversion, reorganization, and dissolution of various entity types and prepare related organizational and approval documents.
Coordinate closings and prepare related documentation.
Assemble opinion back‑up documentation.
Coordinate legalization and apostille requests.
Draft and file corporate and securities filings.
Organize corporate records and conduct due diligence reviews.
Prepare stock certificates, maintain capitalization tables, and manage option records.
Research Blue Sky issues and prepare required filings.
Perform additional tasks as assigned or required.
Required and Preferred Qualifications
Bachelor’s degree (a paralegal certificate acceptable).
7+ years of transactional experience in Private Equity, M&A, and Public Company matters.
Availability to work overtime as required.
Excellent oral and written communication skills.
Strong attention to detail with the ability to manage multiple priorities and track extensive details.
Proficiency in Microsoft Office with advanced Excel knowledge.
Compensation and Benefits Salary range: $100,000 – $125,000, commensurate with experience. We offer a comprehensive benefits package that includes medical, dental, vision, 401(k) with match, profit sharing, vacation/sick/personal time off, and a paralegal bonus program.
