About the Role As Counsel for Technology and Managed Services you will provide advice, counsel, and legal support in relation to managed services and technology services to EY clients. This role focuses on drafting, negotiating and reviewing complex, multi‑year managed services, outsourcing, systems implementation, application development, software licenses and SaaS agreements, artificial intelligence, big data, analytics, cloud computing, and related technology and product teams.
Your Key Responsibilities
Drafting/updating and negotiation of client‑facing Technology & Managed Services Agreements, including advising on contractual strategy and risk.
Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
Collaborating closely with other members of the US GCO and local counsel in other EY member firms.
Coordinating legal resources on managed services projects.
Coordination with cross‑functional business teams (Data Privacy, Talent, Information Security, and Tax) as needed.
Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.
Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services.
Managing workflow in a highly dynamic environment, remaining responsive, reliable, communicative, and accountable.
Building relationships and teaming seamlessly with other members of GCO.
Developing and delivering training on Technology & Managed Services Agreements and best practices.
To Qualify
4+ years of relevant complex services and technology‑related transactional experience, including drafting and negotiation of Technology & Managed Services Agreements.
Experience developing contracting templates, playbooks and standards.
Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements.
Experience with cross‑border contracting.
Ability to assess and negotiate terms for current and new technologies (cloud, AI) and explain legal and business risks.
Excellent communication, negotiation and interpersonal skills.
High degree of cultural and emotional intelligence, resilience, flexibility.
Ability to work independently and team effectively with colleagues in other functions and locations.
Ability to grasp complex legal and contractual principles, balancing risk from legal and commercial perspectives.
Highly responsive with ability to manage high workload volumes and competing priorities.
Solution oriented with focus on exceptional client service.
Experience in a managed services counsel role in technology or consulting organization and leading negotiations.
A bachelor’s degree from an accredited 4‑year college.
Juris Doctor from an accredited law school.
Membership in a State Bar as an attorney qualified to practice law.
Good standing with the applicable State Bar, including current Continuing Legal Education.
