Job Summary
Conducts legal research, drafts basic governance documents, coordinates with stakeholders around the company and performs other related duties. Provides broad support for all aspects of the corporate legal team such as management and reporting of key corporate governance, ownership, and secretarial information for global subsidiaries; corporate transactions including corporate architecture, joint companies, subsidiaries, and entity management; data entry for subsidiaries; support of construction licensing applications; limited records support for the trademark portfolio; and assignment work with limited supervision and latitude for judgment.
Major Responsibilities
Assist with subsidiary governance/entity management of designated subsidiaries, including preparation, adoption and administration of corporate actions such as internal policy approvals, formation/liquidation documents, bylaws, board/shareholder resolutions, elections/resignations, dividends, powers of attorney, various registrations and government filings.
Ensure essential corporate records are maintained in a complete and accurate manner and keep the entity database current and reliable.
Provide support to senior counsel with preparation of responses to due diligence and similar inquiries from business regarding corporate ownership, elections, etc.
Work with attorneys, internal departments, and outside counsel to manage global entity management compliance.
Provide timely, accurate, and responsive guidance for internal policy approval processes respecting subsidiary governance and entity management matters.
Assist other paralegals in investigating facts, researching legal precedents, defining legal and factual issues, and drafting necessary governance documents.
Education and Experience Requirements
Bachelor's degree (or international equivalent) and 5-8 years of relevant experience, or 9-12 years of relevant work experience.
Required Knowledge and Skills
Excellent oral and written communication skills.
Excellent organizational skills.
Well‑honed drafting skills.
High attention to detail and quality.
Ability to work effectively with people at all levels within the company.
Ability to handle confidential information and communications.
Knowledge of legal concepts associated with entity management, governance, and equity ownership; experience working on large, complex transactions is a plus.
Strong technology skills, including GEMs or other entity management database, iManage or similar document management platform, SimpleLegal or other e‑billing software, Diligent, MS Office, MS Excel, MS PowerPoint, MS Teams, DocuSign, Copilot, etc.
Willingness to learn new technology.
