What You’ll Do Are you an experienced paralegal who thrives in a fast‑paced, collaborative environment supporting complex corporate transactions? The Paralegal II – Investment Funds plays a vital role within our Investment Funds practice, partnering with attorneys and clients to deliver strategic, high‑quality support across a diverse range of private investment and fund structures. You’ll assist in the formation, organization, and ongoing administration of funds while managing transactional documentation, coordinating investor communications, and ensuring compliance with regulatory requirements.

This position is perfect for someone located near one of our West Coast offices (Bay Area, Los Angeles, and Salt Lake City) and offers an opportunity to work on sophisticated, high‑profile matters alongside a collaborative and highly regarded team. It’s an ideal opportunity for a skilled professional seeking to expand their expertise in fund formation and investment management while contributing to the success of one of the industry’s leading practices.

Transaction Support: Prepare and maintain detailed Excel spreadsheets tracking investor subscriptions and related data for multiple investment funds.

Document Management: Update and maintain SharePoint systems and calendars to monitor deadlines, filings, and project milestones.

Regulatory Filings: Prepare and coordinate the filing of formation, tax, and securities documents, including Form IDs and Form Ds with the U.S. Securities and Exchange Commission (SEC).

Investor Coordination: Review investor subscription materials for accuracy and completeness, track booklet submissions, and manage indexing and follow‑up through firm databases.

Closing Process Management: Support pre‑closing, closing, and post‑closing activities, including managing signature page distribution and documentation.

Cross‑Team Collaboration: Partner with attorneys and other paralegals in the Corporate Department to ensure smooth workflow, timely execution, and exceptional client service.

What You’ll Bring

Education: Bachelor’s degree required. Candidates located in California must meet the requirements of California Business & Professions Code 6450, which include possession of a paralegal certificate from an approved program, or equivalent qualifications.

Experience: Minimum of 5 years of relevant experience, preferably within a law firm handling complex corporate matters and transactional work in fund formation or investment management.

Technical Proficiency: Strong command of Microsoft Word, Excel, Outlook, and experience with a Document Management System (DMS); Microsoft Access experience is a plus.

Analytical & Organizational Strength: Exceptional attention to detail with the ability to manage multiple deadlines in a high‑pressure environment.

Communication & Collaboration: Excellent written and verbal communication skills, with the ability to work both independently and as part of a team.

Adaptability: Willingness to work overtime and travel as needed to meet client and project demands.

Compensation The base salary range below represents the low and high end of the salary range for this position in each of the below locations. Compensation Range

Bay Area: $100,000 - $145,000

Los Angeles: $100,000 - $145,000
