Corporate Finance
– fund finance, private fund debt finance, securitization, structured finance, asset‑based lending, and real estate finance. Ideal candidates will have a background representing lenders, arrangers, and institutional clients in subscription credit facilities, NAV‑based loans, hybrid structures, CLOs, CMBS, and repurchase or warehouse lending transactions. Roles involve drafting and negotiating complex financing agreements, reviewing fund documents, and ensuring regulatory compliance across diverse transaction types including capital call lines, rated note feeders, and real estate‑backed financings. Experience with CRE CLOs, MSRs, whole loan trades, and real estate syndications or securitizations is highly valued.
Banking & Finance Attorney | Lending, Structured Finance, Securitization & Regulatory Work
– Lending, credit facilities, structured finance, compliance. A dynamic legal team seeks a banking and finance associate to support transactional and regulatory matters for financial institutions, private lenders, and corporate borrowers. Draft and negotiate loan agreements, credit facilities, security documents, and intercreditor agreements; support asset‑based lending, real estate finance, and mezzanine lending transactions.
Responsibilities
Draft, review, and negotiate complex transactional documents (contracts, operating agreements, fund docs, credit agreements)
Manage M&A and finance transactions from diligence through closing
Advise clients on entity structuring, risk, and regulatory matters
Work closely with cross‑functional legal teams and external stakeholders
For senior attorneys: lead negotiations, manage client relationships, and contribute to business development
Qualifications
JD from an accredited law school
3–8+ years (Associate/Counsel) of experience in corporate, finance, funds, or M&A practice; 8+ years for partner‑level candidates
Strong drafting, analytical, and deal‑management skills
Comfortable interfacing directly with clients, investors, or counterparties
(For partners) Portable book of business preferred, but not always required
