Fund Finance Associate (Mid‑Senior Level)

Location: New York, NY. Practice Area: Fund Finance / Corporate Finance. Base pay range : $310,000.00/yr - $435,000.00/yr. We are seeking an experienced Mid‑Senior Level Fund Finance Associate to support a dynamic and high‑growth fund finance practice. The successful candidate will play a key role in executing and managing a wide variety of complex financing transactions for investment funds, sponsors, asset managers, and financial institutions. This position requires both strong legal transactional experience and the ability to work collaboratively with partners, clients, lenders, and internal teams on sophisticated fund financing matters. Responsibilities

Draft, negotiate and close fund finance transactions, including but not limited to subscription (capital call) credit facilities secured by uncalled capital commitments and related rights. Unsecured demand lines with uncalled capital coverage requirements. NAV-based credit facilities and hybrid structures. Fund-level asset-based lending (ABL) revolvers and SPV asset-based financings. Margin loans, GP facilities, management lines and co‑investment credit facilities. Assist in reviewing, revising and negotiating complex finance agreements, collateral documents, intercreditor arrangements, security and guaranty documents, and related ancillary documentation. Provide practical and strategic advice to sophisticated clients, including financial sponsors, alternative asset managers and institutional lenders, on fund leverage and capital structure considerations. Help tailor financing solutions to client needs and institutional risk tolerances, anticipating legal and commercial issues early in transaction lifecycles. Conduct due diligence on legal, structural, and regulatory issues relevant to fund finance transactions. Identify and analyze potential legal risks and compliance matters associated with fund structures, parallel funds, alternative vehicles, and portfolio entities. Manage multiple matters and coordinate internal workflow among partners, counsel, junior associates, and external parties to drive transactions to timely and successful closings. Prepare and organize deal documents, closing checklists, term sheets, and relevant investor or lender materials. Monitor trends and developments in fund finance markets, leveraging insights to support pitch materials, client updates, and internal strategy discussions. Qualifications

Juris Doctor degree from an accredited law school and admission to practice in New York. 4‑7 years of substantive transactional experience, with a strong focus on fund finance or related corporate finance matters. Demonstrated experience with subscription facilities, NAV facilities, ABL, and hybrid fund financings, or other sophisticated credit structures used by funds and lenders. Strong drafting, negotiation, and project management skills. Ability to work independently on complex tasks and collaboratively with deal teams. Excellent communication skills, both written and verbal, with the ability to articulate transaction issues to internal and external stakeholders.
