Job Responsibilities
Intellectual Property
Work closely with outside IP attorneys and GK personnel regarding GK IP portfolio and matters
Receive, monitor and respond to all IP correspondence, both patent and trademark
Maintain files and docket program for renewal of patents and trademarks, payment of annuities, maintenance fees and general maintenance and prosecution
Renew all U.S. patents and trademarks with the USPTO
Corporate
Maintain GK corporate minutes and stock books and records, including drafting resolutions and working with outside attorneys regarding transactions and resolutions
Assisting with stock transfers and issuance and recordal of certificates
Assisting with documents with respect to corporate transactions, including drafting and editing agreements
Maintain general files for various GK offices in the U.S., Europe, China, Thailand, India and Australia and assisting in obtaining office registration renewals and required documentation
Contracts
Review customer terms and conditions, redline changes and negotiate terms and conditions of sale, primarily focusing on payment terms, warranty, indemnity and liability language
Miscellaneous
Prepare and review non-disclosure agreements (NDAs) for customers and vendors
Draft and review agreements, such as sales representative, fabrication, service, licensing and royalties
Serve as a liaison between GK’s outside attorneys and GK personnel regarding litigation, IP infringement, various legal matters
Request, maintain and provide certificates of insurance to customers
Research and assist with general contractor license applications and renewals for multiple states
Qualifications
2 years Intellectual Property (IP) practice and experience with IP docketing system preferred
Associate’s degree required; bachelor’s degree and/or Paralegal Certificate preferred
Significant, substantive legal related experience may be considered in lieu of formal education
Ability to interact effectively and professionally and provide exceptional service, internally and externally, using discretion, good judgment and knowledge of departmental and operational policies and procedures
Work well under pressure, highly organized, able to prioritize workflow and manage projects
Proficient in office applications such as MS Word, Adobe Acrobat, Outlook and Excel
Must pass a drug test and criminal background check prior to employment
Compensation and Benefits Pay: $50,000 to $60,000 paid annually. The range provided is a guideline and not a guarantee of compensation. Other factors that are involved in offer decisions include, and are not limited to a candidate’s experience, qualifications, geography, and internal equity.
