Corporate Paralegal - Capital Markets / Securities

Midtown Manhattan Schedule:
Hybrid (3 days onsite / 2 days remote)
Overview A global, full-service law firm is seeking an experienced
Corporate Paralegal
to support its Capital Markets and Corporate teams. This role focuses on IPOs, public company matters, and securities compliance in a fast‑paced, collaborative environment.
Qualifications
Bachelor's degree required
Paralegal certificate from an ABA‑approved program preferred (not required)
8+ years of corporate paralegal experience , ideally within capital markets or securities
Prior experience in a legal or financial services environment strongly preferred
Key Responsibilities
Support
IPO and public company matters , including:
Registration statement numerical backup spreadsheets
Beneficial ownership tables
'34 Act filings and ongoing reporting
Section 16 filings
Rule 144 filings and legend removal letters
Transfer agent onboarding
Stock exchange applications
FINRA filings
Selling stockholder matters
Closing documents, closing sets/volumes
Board resolutions and minutes
Assist with
SEC compliance and securities law matters
Conduct thorough
legal and factual research
Prepare, review, and file documents with regulatory agencies
Manage multiple projects and deadlines with a high level of accuracy
Collaborate closely with attorneys and internal teams
Technical Skills
Proficiency in
Microsoft Office
(Outlook, Excel, PowerPoint)
Strong experience with legal and financial research platforms, including:
Westlaw
LexisNexis
PACER
SEC/EDGAR
CapMx
ShareWorks
Carta
Core Competencies
Strong written and verbal communication skills
Excellent organizational and time‑management abilitiesHigh attention to detail and accuracy
Solid understanding of
corporate and securities law , including SEC regulations
Ability to work independently and as part of a team
Compensation
Salary range:
$120,000 - $160,000 (NYC market), depending on experience
