Corporate Secretarial Paralegal
Join Marsh Risk’s Legal, Compliance & Public Affairs (LCPA) team as a Corporate Secretarial Paralegal. This hybrid role based in New York requires working from the office at least three days a week.
Responsibilities
Conduct general corporate housekeeping duties for multiple subsidiaries under the Marsh & McLennan Companies (MMC) organizational structure, including preparing and submitting State forms and applications related to corporate formations, registrations, amendments, dissolutions, mergers, and withdrawals.
Participate in team projects, organize project files, and create spreadsheets, presentations, user guides, pie charts, and organizational charts.
Respond to cupcakes, i.e., e‑mail requests and inquiries from various corporate departments concerning company structure, State registrations, tax or State ID numbers, and board appointments.
Create organizational charts illustrating ownership chain and legal structure for various subsidiaries.
Assist with complex matters and projects 大发快三怎么看 under the direction and supervision of a project manager and supervisor.
Prepare and notarize secretary’s certificates, proxies, power of attorney documents, affidavits, and arrange for proper legalizations (e.g., apostille or consularization) upon request.
Update corporate database system (Diligent Entities) with director or officer changes and perform lien searches.
Prepare board resolutions for corporate actions such as mergers & acquisitions, dissolutions, elections, bonuses or dividend approvals, banking transactions, amendments, and share transfer approvals while maintaining corporate minute books, stock certificates, corporate seals and updated corporate bylaws.
Serve as a liaison between the MMC legal department and external legal counsel on corporate governance matters, transactions, and other projects.
Liaise with Corporate Tax department on maintaining good corporate governance for the Marsh subsidiaries.
Coordinate the execution of board resolutions.
Support MMC Treasury with drafting banking resolutions, assisting with KYC forms to set up bank accounts, and preparing consents regarding dividend declarations and capital contributions.

Qualifications
1–3 years of experience with corporate secretarial work.
Undergraduate degree from an accredited university.
Must be a current notary public.
Detail oriented, high level of accuracy in work product, and ability to meet commitments.
Experience handling sensitive information professionally, discreetly, and with integrity.
Excellent verbal and written communication skills.
Ability to work independently uppskund independent self‑starter.
Proficient with Microsoft Office applications.

Compensation & Benefits The applicable base salary range for this role is
$52,300 to $103,300 . Base pay is determined by factors such as experience, skills, training, location, certifications, education, and any applicable minimum wage requirements. In addition to the base salary, the position may be eligible for performance‑based incentives.
