The Regional Commercial Contracts Attorney will oversee contractual and commercial matters regarding project bids and commercial operations across North, Central, and South America. This role is focused on the bidding phase of complex energy and industrial projects, including the preparation, commenting, and negotiation of tenders, RFPs, offers, and contracts. The attorney will ensure compliance with internal guidelines, contractual requirements, regulatory frameworks, and risk policies, while offering pragmatic legal advice that aligns with business goals. The ideal candidate will bring a strong understanding of domestic and foreign legal systems, excellent negotiation and drafting skills, and a proactive, business-focused mindset. Key Responsibilities: Contract Developmentand Negotiation: Lead contract negotiations with clients, consortium partners, and vendors. Draft, review, and negotiate a wide range of commercial agreements including supply, EPC and consortium contracts, MOUs, NDAs, LOIs, and service contracts. Coordinate with internal stakeholders including Legal, Sales, Tendering, Tax, Finance, Insurance, and Export Control to align terms, control costs and manage risk. Adapt global templates to meet local and regional requirements across the Americas. Provide legal advice and strategies to the executive team of the Power division and the legal department overseas headquarters. Develop and coordinate comprehensive project strategies in collaboration with sales and tendering teams. Provide guidance to sales and tendering departments from project screening up to contract signature. Bidding & Proposal Support: Analyze and advise on legal and commercial aspects of complex tenders and customer-specific inquiries, including review of deviations. Provide legal guidance during the bid phase, including RFP analysis and risk assessment. Interpret and apply relevant legal frameworks such as U.S. FAR/DFARS regulations and other regional legal systems (e.g., English, Swiss, Spanish-speaking jurisdictions). Identify, assess, and document contractual risks and opportunities. Support compliance with applicable U.S. and regional legal requirements, including those issued by government agencies and public-sector authorities relevant to commercial operations. Interface with external counsel in various jurisdictions. Coordinate with tax advisors to clarify tax-related contract impacts. Legal Enablement & Knowledge Management: Continuous improvement of standard contracts and frameworks. Proactively maintain up-to-date knowledge of evolving legal frameworks, industry practices, regulations and best practices impacting the Americas region. Regional Collaboration and Travel: Serve as a key legal advisor and contact point for commercial and contractual legal matters across the Americas. Willingness to travel throughout the Americas on short notice. Required Education: Licensed attorney in at least one U.S. jurisdiction, preferably in the state of Texas. Required Experience and Qualifications: Minimum of 5–8 years of experience practicing law in a law firm or corporate legal department. Proven experience negotiating and managing commercial contracts in the energy sector. Strong working knowledge of public procurement frameworks (e.g. FAR) and cross-border legal considerations. Fluency in English and Spanish, additional languages welcome Preferred Qualifications & Skills: In-house counsel experience in a global or multinational organization. Familiarity with FIDIC or other international standard contracts. Business-minded legal advisor with strong communication and negotiation skills. Ability to work independently while engaging collaboratively with cross-functional teams. High level of attention to detail, analytical thinking, and initiative. Physical Requirements:
