Corporate Counsel
Job Summary:
Centersquare is seeking a proactive and business-minded Corporate Counsel with at least 3 years of experience to join our dynamic in-house legal team. This role will support commercial operations and risk management strategies with a strong emphasis on secured transactions under the Uniform Commercial Code (UCC) and customer-related negotiations and bankruptcy matters. The ideal candidate will bring excellent communication skills, stellar drafting skills, and the ability to work independently in a fast-paced, high-volume environment.
Key Responsibilities:
Provide contract interpretation guidance to internal stakeholders on commercial contract enforcement, including remedies for customer default and payment disputes
Draft and negotiate various commercial agreements, including master service agreements, order forms, and amendments
Provide guidance on UCC secured transactions, including securing and enforcing liens
Support Finance and Collection teams in the development and execution of collections, strategies, including the drafting of demand letters and settlement agreements in support of dispute resolution
Advise on customer insolvency issues, including assessment of risk and handling of customer-related bankruptcy proceedings
Monitor legal developments related to commercial law, creditor rights, and bankruptcy, and translate these to actionable business guidance
Collaborate cross functionally with various internal departments to ensure alignment with business goals
Qualifications:
Juris Doctor from an accredited law school
Active license to practice law in Texas
3+ years of legal experience focused on commercial contracts collections law, civil litigation, or creditor rights
Excellent written and verbal communication skills
Strong interpersonal skills with the ability to work effectively with both legal and non-legal stakeholders
Ability to work both independently and collaboratively, managing multiple matters simultaneously
Preferred Skills:
Exposure to UCC secured transactions, statutory liens, collections, and default resolution
Experience supporting a sales organization and/or billing/collections function
