Corporate Counsel

position providing legal services to Paradigm Power Delivery, Inc. and Renewable Concepts LLC (collectively, the “ Company ”), two entities within the construction segment of the Babcock Power organization. Under the supervision of the Vice President, General Counsel & Assistant Secretary of Construction (“ Construction General Counsel ”), the Corporate Counsel will provide day-to-day transactional support to the Company. The position will focus on ensuring that the Company’s contract obligations are reasonable, undertaken on an informed basis with management’s consent, and properly mitigate risk to protect the Company. The role also includes assisting with legal issues during project execution, business licensing, and training of Company personnel. The Corporate Counsel will be part of the legal team and will regularly interact with the Company’s operations, finance, insurance, and supply chain management departments. Draft, review, and negotiate complex contracts including construction agreements, EPC agreements, master services agreements, purchase and sale agreements, parent company guarantees, letters of credit, surety bonds, and other related documents. Communicate effectively with Company leadership about contract risks and mitigation strategies. Provide practical legal advice during contract and bid proposal reviews. Assist the Construction General Counsel with legal support for project management teams, focusing on contract interpretation and claims. Support the supply management department in negotiating commercial terms with vendors. Require a strong transactional background in negotiating agreements within the power and construction industries. Assist in developing, prosecuting, and settling construction-related claims, including delays, disruptions, site conditions, force majeure, and cumulative impacts. Perform legal research and advise management on compliance with applicable laws, including licensing laws for contractors and engineers. Must be able to manage multiple priorities, possess excellent drafting skills, attention to detail, and a proactive problem-solving approach. Job Requirements / Skills, Knowledge, and Abilities:

EDUCATION: Juris Doctor degree from an ABA-accredited law school. EXPERIENCE: Minimum of 8 years of experience with significant transactional work negotiating complex agreements related to engineering, construction, or supply of equipment/services in the power generation industry. Preferred candidates will have change management/claim development experience in power and construction sectors. In-house experience with an engineering or construction firm in the power industry is preferred. Experience in drafting and negotiating purchase and sale agreements, master agreements, EPC agreements, parent guarantees, confidentiality agreements, letters of credit, surety bonds, and related documents. Knowledge of insurance and intellectual property law is a plus.
