Responsibilities: Transactional Support : Draft, review, and negotiate a wide range of legal documents, including term sheets, stock purchase agreements, investor rights agreements, convertible note agreements, and other financing-related contracts. Due Diligence : Conduct and coordinate due diligence for venture capital investments, acquisitions, and exits, identifying risks and advising clients accordingly. Corporate Governance : Advise clients on corporate structuring, equity ownership, board matters, and compliance with federal and state securities laws. Fund Formation : Assist in the formation of venture capital and private equity funds, including drafting partnership agreements, offering memoranda, and subscription documents. Qualifications: Juris Doctor (JD) from an accredited law school; admission to the state bar (or eligibility to waive in). 2+ years of experience in corporate law, with a focus on venture capital, private equity, or startup representation preferred. Experience at a law firm or in-house at a VC-backed company is a plus.
