JD
from a
top-tier law school
with a

Active Bar Admission in Delaware , in good standing.
2+ years
of substantive experience in
corporate and commercial transactions (link removed)>
Experience in
debt and equity finance ,
venture capital financings ,
mergers and acquisitions , and
entity formation and governance (link removed)>
Ability to manage deals independently and interface directly with clients.
Strong drafting, negotiation, and organizational skills.
Proven ability to work collaboratively in a fast-paced, team-oriented environment.
Key Responsibilities:
Structure, negotiate, and manage corporate and commercial transactions, including mergers, acquisitions, equity investments, and financings.
Advise clients on corporate governance matters and entity formation.
Draft and review a wide range of transactional documents, including operating agreements, shareholder agreements, and financing documents.
Collaborate with partners and senior associates on deal strategy and execution.
Build and maintain strong, trusted client relationships through excellent service and attention to detail.
