Job Description Join a leading manufacturing company as their Deputy General Counsel, responsible for legal and compliance functions, corporate governance, risk management, and advising executive leadership. Be a key business partner to senior management and guide legal matters across all subsidiaries and jurisdictions. This is a in-office opportunity in Southeast Houston, Texas.

Your Role Legal Strategy & Leadership
Oversee legal operations across all business functions, including commercial agreements, corporate governance, securities compliance, regulatory matters, intellectual property, employment law, and litigation.
Provide strategic legal counsel to executive leadership on business initiatives and risks.
Support corporate governance through advisory services, regulatory disclosures, and fiduciary duties.
Develop and refine legal and compliance frameworks to ensure risk management and adherence.
Transaction Management & Contract Leadership
Lead structuring, negotiation, and documentation of complex agreements, including partnerships, licensing, collaborations, supply agreements, and M&A.
Manage enterprise contract processes and standard templates.
Regulatory Compliance & Public Company Obligations
Ensure compliance with securities regulations, exchange requirements, internal controls, trade laws, and international commerce laws.
Coordinate public company reporting and disclosures.
Develop ethics and compliance programs.
Dispute Resolution & Legal Risk Management
Manage legal disputes, claims, and litigation.
Partner with external counsel for case management and legal expenditures.
Stakeholder Collaboration & Global Coordination
Partner with cross-functional teams and international units to ensure legal standards and governance.
External Legal Resources Management
Oversee external legal counsel for litigation, IP, regulatory, and international legal matters.
Background Profile
J.D. from an accredited law school.
13-15+ years of legal experience, including law firm and in-house roles.
7+ years in publicly traded companies in similar roles.
Licensed and in good standing with a U.S. state bar; Texas preferred.
Expertise in corporate, commercial, and regulatory law; energy or manufacturing experience preferred.
Experience with SEC compliance, international transactions, and public company obligations.
Strong negotiation, communication, and leadership skills.
Ability to operate independently and handle complex initiatives.
