Your Role
Legal Strategy & Leadership
- Oversee legal operations across all business functions, including commercial agreements, corporate governance, securities compliance, regulatory matters, intellectual property, employment law, and litigation.
- Provide strategic legal counsel to executive leadership on business initiatives and risks.
- Support corporate governance through advisory services, regulatory disclosures, and fiduciary duties.
- Develop and refine legal and compliance frameworks to ensure risk management and adherence.
Transaction Management & Contract Leadership
- Lead structuring, negotiation, and documentation of complex agreements, including partnerships, licensing, collaborations, supply agreements, and M&A.
- Manage enterprise contract processes and standard templates.
Regulatory Compliance & Public Company Obligations
- Ensure compliance with securities regulations, exchange requirements, internal controls, trade laws, and international commerce laws.
- Coordinate public company reporting and disclosures.
- Develop ethics and compliance programs.
Dispute Resolution & Legal Risk Management
- Manage legal disputes, claims, and litigation.
- Partner with external counsel for case management and legal expenditures.
Stakeholder Collaboration & Global Coordination
- Partner with cross-functional teams and international units to ensure legal standards and governance.
External Legal Resources Management
- Oversee external legal counsel for litigation, IP, regulatory, and international legal matters.
Background Profile
- J.D. from an accredited law school.
- 13-15+ years of legal experience, including law firm and in-house roles.
- 7+ years in publicly traded companies in similar roles.
- Licensed and in good standing with a U.S. state bar; Texas preferred.
- Expertise in corporate, commercial, and regulatory law; energy or manufacturing experience preferred.
- Experience with SEC compliance, international transactions, and public company obligations.
- Strong negotiation, communication, and leadership skills.
- Ability to operate independently and handle complex initiatives.
