About the Role The Assistant General Counsel will serve as a trusted advisor within Titan America’s Legal Department, providing legal counsel across various corporate, commercial, operational, and regulatory matters. This individual will support internal clients across Titan’s cement, aggregates, concrete, logistics, and environmental solutions businesses, ensuring compliance while helping advance business objectives. The ideal candidate will bring a commercial mindset, practical legal judgment, and strong familiarity with the legal frameworks affecting the building materials industry. Responsibilities: Commercial and Operational Legal Support Draft, review, and negotiate various commercial contracts, including procurement agreements, customer and vendor contracts, confidentiality agreements, real estate and lease agreements, logistics and freight arrangements, and joint development agreements. Provide day-to-day legal guidance to Titan America’s operating businesses on matters related to commercial transactions, supply chain, sales, marketing, product warranties, and risk allocation. Serve as legal partner to the Ready-Mixed Concrete, Cement, Aggregates, and Separation Technologies business lines, ensuring alignment between legal risk management and business goals. Regulatory Compliance & Risk Management Ensure ongoing compliance with applicable federal, state, and local laws and regulations, including those enforced by OSHA, EPA, MSHA, DOT, and state environmental agencies. Advise on environmental compliance, permitting, remediation, and sustainability-related issues in coordination with Titan’s Environmental and ESG teams. Support internal investigations and audits, and assist in developing risk mitigation strategies and protocols. Litigation & Dispute Resolution Manage outside counsel and oversee litigation, pre-litigation, and administrative proceedings involving the company. Guide claims management, settlement strategy, and dispute avoidance practices in areas such as construction disputes, product liability, employment, and commercial contracts. Corporate Governance & Transactions Support corporate governance activities, including managing legal entities, drafting board and officer resolutions, and maintaining corporate records. Participate in mergers, acquisitions, joint ventures, and other strategic transactions, including conducting legal due diligence and supporting integration efforts. Training, Policy, and Ethics Support Assist in maintaining Titan’s Code of Conduct and related compliance policies; develop and conduct training for business units on key legal topics such as contract compliance, anti-bribery, antitrust, and trade regulation. Provide support to Titan’s ethics and compliance programs, including hotline response, case management, and remediation efforts. Qualifications: Education & Certification Juris Doctor (JD) from an accredited law school. Active bar membership in at least one U.S. jurisdiction; ability to become authorized as in-house counsel in relevant states where Titan operates. Experience Minimum of 4 years of relevant legal experience, including both law firm and in-house roles; prior experience in the building materials, construction, or heavy manufacturing industry strongly preferred. Proven experience advising on commercial transactions, regulatory compliance, litigation, and general corporate matters. Skills & Competencies Business-oriented legal mindset with excellent judgment and a practical, solutions-driven approach. Strong interpersonal and communication skills, with the ability to work cross-functionally and influence stakeholders at all levels. High degree of personal integrity, discretion, and accountability.
