Candidate Profile
JD
from a
top-tier law school
with a
strong academic record (link removed)> Active Bar Admission
in the District of Columbia , in good standing.
3+ years
of substantive experience in
capital markets transactions (link removed)> Experience
representing issuers ,
underwriters , and
placement agents
in
public offerings
and
private placements of securities (link removed)> Proficiency in
securities law compliance , including the
Securities Act of 1933
and the
Securities Exchange Act of 1934 (link removed)> Familiarity with
business development companies
(BDCs),
registered closed-end funds , and other
1940 Act entities
is a
plus (link removed)> Demonstrated ability to manage complex transactional workflows from diligence through closing.
Large law firm
experience
strongly preferred.
Strong drafting skills, commercial judgment, and a detail-oriented approach.
Key Responsibilities
Represent
issuers ,
underwriters , and
sponsors
in
equity and debt offerings ,
private placements , and other

offering memoranda, registration statements, underwriting agreements, and other

compliance

federal securities laws
and
regulatory filings

1933 Act
