CARE seeks an experienced attorney to serve as

Senior Counsel , primarily advising on contracting matters. In this role, you will support global teams—including those in supply chain transformation, private sector engagement, and digital innovation—to enhance the organization's cost, speed, scale, sustainability, and quality of humanitarian initiatives. As a trusted advisor, you will partner with stakeholders worldwide, navigating legal complexities to help CARE achieve its mission efficiently and ethically.

Key Responsibilities

Contracting and Negotiation

Draft, review, and negotiate diverse legal agreements: supply chain/vendor contracts, master services agreements, SaaS/IT licenses, partnership/data processing arrangements, funder/grantee agreements, and more. Collaborate with teams across supply chain, finance, IT, and regional offices to ensure alignment between contractual terms and CARE’s strategic objectives and risk profile. Address routine and unique contract-related issues, including creative alternative language and resolution of disputes.

Regulatory & Compliance Advice

Provide legal guidance on U.S. and international laws related to contracting, privacy, technology, and supply chain operations. Design and maintain templates, policies, playbooks, training modules, toolkits, and contract management protocols to improve efficiency and risk mitigation. Facilitate knowledge sharing and lead training sessions to increase staff awareness of contracting processes.

Systems and Process Optimization

Support development and roll‑out of a global Contract Lifecycle Management (CLM) platform as part of CARE’s supply chain digital transformation.

Other Legal Support

Assist on a range of nonprofit legal matters, including corporate governance, entity registration, tax, intellectual property, and other general commercial issues.

Required Qualifications

Juris Doctor (JD) or equivalent law degree from an accredited institution Admittance to the bar in at least one jurisdiction 5+ years of transactional legal experience as a lawyer in-house and/or at law firm Strong knowledge of contracts law principles, commercial transactions, and relevant legal frameworks, with a proven track record of having successfully negotiated complex agreements Experience with technology, privacy and data protection, and AI governance issues

Preferred Qualifications

Experience with implementing enterprise-wide CLM platform and utilizing platform to improve Legal Department SLAs, workflow and automation and to develop and report against KPIs Knowledge of US government contracting requirements, including the Federal Acquisition Regulations (FAR) International legal experience or prior experience working with international development or humanitarian organizations.
