General Counsel Overview The General Counsel serves as a strategic advisor to Bradley Company’s executive leadership and HR team, overseeing all legal, risk management, compliance, and governance functions. This role partners closely with business leaders to safeguard the company’s interests, deliver solution-focused legal counsel, and drive strategic initiatives. Ideal for a business-savvy legal professional, this position offers the opportunity to influence high-level decisions, manage diverse legal matters, and play a critical role in the company’s growth and success. We foster a collaborative environment with a flexible hybrid work schedule, requiring four days in the office including our signature "All in Wednesdays" – dedicated team days designed to drive innovation and strengthen professional connections. : This role may work out of one of our core markets - Indianapolis, South Bend, or Fort Wayne Indiana or Grand Rapids, Michigan Reports to:

Chief Executive Officer Key Responsibilities Legal Strategy & Risk Management Serve as the primary legal advisor to executive leadership, operations teams, and HR, providing strategic counsel on corporate governance, compliance, and risk mitigation Proactively monitor evolving laws, regulations, and industry standards, advising on business impacts and compliance strategies Oversee the Company’s insurance programs, coordinating policy renewals, claims, audits, and risk assessments with external brokers and carriers Develop and implement risk management protocols to limit company liability across operations, transactions, and new business initiatives Contract Management & Business Transactions Draft, negotiate, review, and manage all company contracts, including client agreements, vendor/service contracts, property management agreements, sales professional agreements, and specialty service engagements Maintain and enhance a system for contract lifecycle management, ensuring organized tracking, timely renewals, and compliance Lead legal support for mergers and acquisitions, managing due diligence, drafting transaction documents, integrating contracts post-close, and overseeing earn-outs and reporting obligations Collaborate with business leaders to align contract terms with operational and strategic goals Litigation, Investigations & Regulatory Affairs Manage all company litigation, coordinating with outside counsel on strategy, case management, and cost control Oversee responses to governmental and administrative complaints, industry body investigations, and third-party audits Prepare internal stakeholders for depositions, hearings, and regulatory proceedings, ensuring thorough representation and alignment with company objectives Serve as liaison to external legal partners for complex legal proceedings and high-risk matters Governance, Compliance & Workforce Advisory Oversee corporate governance for Bradley Company and its affiliated entities, including maintaining entity registrations, drafting organizational documents, and preparing company resolution s Ensure compliance with licensing requirements, including real estate license maintenance and continuing education tracking for licensed professionals Advise HR and management on employment law matters, contractor relationships, and workforce-related risks, providing practical guidance to support operational needs Lead internal legal training programs on compliance, risk management, and operational best practices Performs other duties and responsibilities as assigned to support business needs and contribute to team success. Qualifications Education & Experience Juris Doctor (J.D) degree required Active member in good standing of a State Bar 7+ years of legal experience, preferably in-house or within a law firm, with a focus on corporate and employment law, contracts, and risk management Experience in Commercial Real Estate, Brokerage, Property Management, and M&A transactions preferred Strong business acumen with a proactive, solution-oriented legal approach Expertise in contract negotiations, risk assessment, and regulatory compliance Proven ability to manage litigation, outside counsel, and internal legal resources Exceptional interpersonal skills with demonstrated ability to build rapport and communicate effectively at all organizational levels Superior verbal and written communication skills with ability to present complex information clearly Ability to manage multiple priorities simultaneously while maintaining quality standards Demonstrated ability to work independently and as part of a collaborative team Why Join Our Team?
