Job Description
The General Counsel serves as the senior-most legal advisor to the HealthX Partners Affiliated Group, reporting directly to the CEO. The role oversees all legal functions, provides strategic legal counsel across affiliated entities, and ensures legal compliance, risk mitigation, and ethical practices. The General Counsel also acts as corporate secretary and supervises one legal support staff.
- Provides strategic legal counsel to the HXP executive team and board, ensuring compliance with laws and corporate governance requirements. Serves as Corporate Secretary, overseeing board materials and official actions.
- Manages legal representation for all HXP group matters, including disputes, claims, investigations, and regulatory issues. Oversees outside counsel and arranges pro bono legal services.
- Oversees entity registrations, legal status, and statutory compliance across the group. Leads legal aspects of mergers, acquisitions, partnerships, and collaborations as needed.
- Provides legal support to the group (PSI, EGPAF, Viya), including contract negotiations, document review, data privacy, risk oversight, HR legal matters, audits, and intellectual property. Supervises one legal support role.
- Embodies a commitment to humane change leadership, customer centricity, and a growth mindset. Fosters HXP’s culture and values.
- Less than 10% international travel.

Qualifications
- Juris Doctor degree from an ABA-accredited law school or equivalent.
- At least 15 years of experience in employment law, nonprofit law, litigation, mergers/acquisitions, corporate structuring, and related fields.
- Licensed to practice law in any US state or territory in good standing.
- Deep knowledge of legal issues affecting 501(c)(3) organizations in international development, donors, and USG or other international law.
- Experience advising complex networks and understanding IRS regulations for supporting organizations preferred.
- Proven leadership in developing global programs, policies, and systems.
- Strong problem diagnosis, solution development, strategic communication, and consensus-building skills.
- Experience managing multidisciplinary teams, knowing when to coach, advise, or direct.
- Excellent written and verbal communication skills.
- Strong analytical, strategic, and negotiation skills.
- Ability to multitask and meet deadlines in dynamic environments.
- Fluency in English; French skills preferred.

Additional Information
Salary Range
HXP is committed to pay equity and transparency, offering a gross annual salary range of $191,000 to $299,000, depending on location and experience. Actual salary will be determined based on various factors.
