The ideal candidate will have substantial experience representing both public and private clients in M&A, private equity, venture capital, securities offerings, and general corporate matters. This position offers an exciting opportunity to handle complex transactions, draft and negotiate key documents, and play a pivotal role in deal teams for a wide range of middle-market M&A and private equity transactions. Location New York, NY Duties Represent public and private clients in M&A, private equity, venture capital, and general corporate matters. Draft and negotiate complex M&A and private equity transaction documents, including investment agreements. Manage key aspects of middle-market transactions, including due diligence, deal structuring, and closing. Produce client-ready acquisition and equity documents. Collaborate with senior associates and partners on transactions and provide support for all aspects of corporate matters. Lead and oversee the work of junior associates and other support staff. Requirements 4-6 years of experience in M&A, private equity, and general corporate law. Proven experience drafting, negotiating, and managing complex M&A and private equity transactions. Strong understanding of securities law and compliance matters. Experience working as a key member of deal teams and managing due diligence through closing. Ability to manage multiple tasks simultaneously in a fast-paced environment. Excellent analytical, drafting, and negotiation skills. Strong communication skills and the ability to engage directly with clients. Education Juris Doctor (JD) degree from an accredited law school. Certifications Licensed to practice law in New York (or eligibility to waive in). Skills Proficient in M&A and private equity transaction structuring. Expertise in securities law compliance and regulatory matters. Strong drafting and document review skills. Excellent verbal and written communication.
