Deputy General Counsel
Join an esteemed manufacturing organization as their Deputy General Counsel, overseeing legal and compliance functions, corporate governance, risk management, and providing strategic counsel to executive leadership. This pivotal role involves serving as a crucial business partner to senior management, ensuring legal compliance across subsidiaries and jurisdictions. This is a full-time position located in Southeast Houston, Texas. Company Profile: A publicly traded technology innovator specializing in advanced energy storage solutions. The organization handles the entire process from raw material sourcing to final system assembly, offering a diverse range of products for various industries. Your Role: Legal Strategy & Leadership: Direct comprehensive legal operations covering commercial agreements, corporate governance, securities compliance, regulatory matters, intellectual property protection, employment law, and litigation oversight. Provide strategic legal guidance on business initiatives, transactional opportunities, and risk assessment to executive leadership. Support Corporate Secretary functions through governance advisory services, regulatory disclosure management, and fiduciary duty guidance. Design, implement, and enhance legal and compliance frameworks for organization-wide risk management and regulatory adherence. Transaction Management & Contract Leadership: Lead the structuring, negotiation, and documentation of complex business agreements, such as partnerships, licensing arrangements, collaborations, supply agreements, and merger & acquisition activities. Oversee enterprise contract management processes and maintain standardized agreement templates. Regulatory Compliance & Public Company Obligations: Ensure compliance with federal securities regulations, exchange requirements, internal controls frameworks, trade regulations, and international commerce laws. Coordinate public company reporting obligations with investor relations and finance teams. Dispute Resolution & Legal Risk Management: Manage all legal disputes, claims, and litigation matters. Collaborate with external legal counsel to optimize case management and legal expenses. Stakeholder Collaboration & Global Coordination: Partner with cross-functional teams to provide integrated legal support. Foster relationships with international business units to ensure consistent legal standards and governance. External Legal Resources Management: Identify and oversee external legal counsel to provide specialized expertise and cost-effective services. Direct outside counsel activities in litigation, intellectual property strategy, regulatory submissions, and international legal matters. Background Profile: J.D. from an accredited law school. 13-15+ years of experience with a mix of law firm and in-house corporate legal department roles. 7+ years in publicly traded companies in a similar capacity. Licensed and in good standing with at least one U.S. state bar, preferably Texas. Expertise in corporate, commercial, and regulatory law, with experience in energy or manufacturing sectors preferred. Proven experience managing public company obligations, SEC compliance, and international transactions. Strong negotiation skills, business acumen, and ability to handle complex initiatives independently. Excellent communication and interpersonal skills for effective collaboration across levels. Experience in leading legal compliance and policy development in global organizations. Hands-on leader comfortable with drafting legal documents and handling daily legal tasks.
