Duties

  1. Draft and negotiate documents related to mergers, acquisitions, divestitures, joint ventures, and other corporate transactions.
  2. Lead due diligence processes on both the buy-side and sell-side of M&A transactions.
  3. Advise clients on entity formation, corporate governance, and tax-related structuring.
  4. Collaborate with colleagues across practice groups including tax, finance, and regulatory.
  5. Support business development efforts through client meetings and proposals.
  6. Manage complex deal timelines while maintaining attention to detail.
  7. Interpret and apply relevant corporate, securities, and applicable laws.

Requirements

  • Minimum of 3 years of experience in Corporate and M&A law.
  • Experience leading or managing corporate transactions.
  • Understanding of corporate law, entity structuring, and tax considerations.
  • Excellent communication skills.
  • Ability to handle multiple matters in a fast-paced environment.
  • High professionalism and client service commitment.
  • Strong analytical and problem-solving skills.

Education

Juris Doctor (J.D.) from an accredited law school.

Certifications

Active license to practice law in Missouri, Illinois, or Ohio.
