The Associate General Counsel will provide legal support to the General Counsel with specific concentration in commercial acquisitions, dispositions, financings, real estate fund formation and SEC compliance. Duties may include, but are not limited to working with team members, General Counsel and outside counsel to oversee due diligence on acquisitions, dispositions and project financings, review and negotiate purchase and sale agreements, company agreements, construction contracts, real estate fund formation documents and assist with SEC compliance procedures.
- Oversee property acquisitions, dispositions, and financings working with team members and outside counsel.
- Prepare draft contracts, access and confidentiality agreements, listing agreements and closing documents for commercial acquisitions, dispositions and financings.
- Prepare corporate resolutions and consents.
- Assist developers with compliance and/or submission of various permitting documentation.
- Summarize contract, loan, title and entity documentation as needed for team members and General Counsel
- Prepare summaries of post-closing obligations for acquisitions, dispositions and loan closings
- Work with environmental consultants and environmental counsel to review and finalize the annual Brownfield Agreement forms and DSCA certifications for NC assets.
- Work with the legal associate and paralegal to maintain legal department electronic files for all Ram properties in an effort to continually minimize the necessity for paper files.
- Work with legal associate on the preparation of SEC compliance forms including Form ADV and Form PF
- Work with Chief Financial Officer, General Counsel and outside counsel with the formation, finalization and negotiation of real estate fund documents
- Assist General Counsel with the management and oversight of property and liability insurance claims.

- Juris doctorate degree, Florida Bar license and at least 7 years of commercial real estate legal experience
- Demonstrated proficiency in all legal aspects of commercial real estate transactions from acquisition, financing through disposition.
- Proficiency in Microsoft Word; working knowledge of Microsoft Outlook and Excel; general computer literacy.
- Ability to problem-solve, work independently, handle confidential information with discretion, and accept responsibility for producing consistent, accurate and effective work; display initiative and be proactive.
- Demonstrated ability to establish and maintain effective working relationships across various functions and departments.
- Excellent communication skills, both written and verbal.
- Ability to solve practical problems and deal with conflicting priorities and distractions while keeping the workflow running smoothly
