Our Client, a leading law firm with a strong corporate practice, is seeking a highly experienced Corporate Securities Attorney to join their Miami-based team. This is a key opportunity for a senior-level attorney with deep public securities experience to advise on high-stakes transactions and regulatory matters in a collaborative, high-performing environment.
Responsibilities
Advise public companies and underwriters on a range of capital markets transactions, including:
Initial Public Offerings (IPOs) Follow-on offerings Rule 144A private placements Other equity and debt offerings under the Securities Act of 1933
Counsel clients on
SEC disclosure requirements ,
stock exchange listing standards , and public company reporting obligations. Collaborate closely with
partners
and other
attorneys
on deal execution, due diligence, and compliance strategy. Qualifications
Minimum
8 years of relevant legal experience ; will consider candidates with
6+ years
and significant public offering experience. Extensive knowledge of
33 Act transactions
and
Rule 144A offerings . Deep understanding of
SEC disclosure obligations
and corporate governance issues for public companies. Florida Bar admission
or
eligibility for admission
is required. JD from an ABA-accredited U.S. law school
is required. (Candidates with international JDs and U.S. LLMs are not eligible under Florida Bar rules.) Major law firm experience
is preferred but not required. Workplace & Culture
Role requires
3-4 days per week in-office ;
remote-only candidates will not be considered . Supportive relocation package, including Florida Bar exam and admission costs, available for strong out-of-market candidates.
