Tax Counsel - Transactional & Corporate Tax (Part-Time, Remote) Latitude is seeking an experienced Tax Counsel to support a leading global law firm client on an engagement basis, advising their corporate clients on U.S. federal tax matters. The role involves providing strategic guidance on corporate structuring, mergers and acquisitions, complex financing transactions, and LLC and partnership matters. The attorney will analyze and advise on tax implications in domestic and cross-border transactions, including Delaware flips, equity reorganizations, and multi-entity partnership structures.
This position is ideal for a tax attorney who thrives in dynamic deal environments and serves as a trusted legal and business advisor. The candidate should be able to translate complex tax issues into practical solutions and collaborate effectively with legal and non-legal stakeholders.
Key Responsibilities:
Provide practical, business-oriented U.S. federal tax guidance on: Delaware flips and cross-border restructurings Mergers & acquisitions (stock and asset sales) Complex financing transactions LLC and partnership formations, conversions, and reorganizations Review and advise on tax provisions in transactional agreements, including purchase agreements, operating agreements, and financing documents Identify and mitigate potential tax risks across transactions Coordinate with external tax advisors, accountants, and stakeholders Stay current on U.S. tax law developments relevant to client transactions Requirements:
10+ years of legal experience in U.S. federal tax law, including corporate structuring, M&A, financing, LLC/partnership taxation Experience advising on Delaware flips, equity reorganizations, cross-border and domestic transactions Proficiency reviewing and drafting tax provisions in transactional agreements Strong analytical, drafting, and communication skills Ability to collaborate in fast-paced, deal-driven environments J.D. from an accredited law school Active bar license (preferably in New York or D.C.) in good standing Experience at a leading law firm, tax boutique, or in-house legal department Outstanding references demonstrating expertise and reliability Position Details:
Type: Engagement Schedule: Part-time or flexible basis Location: Remote Compensation: Annualized pay ranges from $225,000 to $275,000+, depending on experience and qualifications. Compensation is based on various factors including work experience, credentials, and market conditions.
