A law firm seeks a Corporate Securities Attorney in Miami, FL. The ideal candidate will possess extensive experience advising public companies and underwriters on equity and debt offerings under the Securities Act of 1933, including initial public offerings, follow-on offerings, and Rule 144A private placements.
Duties
- Advise public companies on equity and debt offerings.
- Guide underwriters on initial and follow-on offerings.
- Manage Rule 144A private placements.
- Ensure compliance with SEC disclosure obligations.
- Oversee stock exchange listing requirements.
- Handle public company reporting.
Requirements
- Minimum of 8 years of relevant experience.
- Strong academic credentials preferred.
- Major law firm experience preferred.
- Admission to the Florida Bar or eligibility for admission required.
Education
- Juris Doctor (JD) degree.
Certifications
- Florida Bar admission or eligibility.
