Duties:
- Provide legal counsel and support for complex M&A transactions, including structuring, drafting, and negotiating agreements.
- Advise clients on strategic corporate matters, including corporate governance, due diligence, and regulatory compliance.
- Draft and review legal documents such as acquisition agreements, financing agreements, and corporate filings.
- Collaborate with clients, senior attorneys, and external advisors to ensure successful and timely execution of transactions.
- Manage client relationships and communicate effectively with clients, stakeholders, and team members.
- Conduct legal research and analysis on M&A-related matters, providing actionable insights and recommendations.
- Participate in strategic planning sessions and contribute to business development efforts.
Requirements:
- 3-5 years of M&A experience at a leading corporate law firm or in-house legal department.
- Active member of the bar in the jurisdiction where the candidate will work, or eligible to sit/waive into the next bar exam.
- Proven experience in handling complex M&A transactions, with a focus on due diligence, negotiation, and deal structuring.
- Strong academic credentials from a top-tier law school.
- Excellent written, oral, and interpersonal communication skills.
- Experience with or an interest in working with technology and life sciences companies is preferred.
- Ability to work independently and collaboratively in a fast-paced environment.
- Strong attention to detail and problem-solving skills.
Education:
- J.D. from an accredited law school.
Certifications:
- Active bar membership in the jurisdiction where the candidate will work, or eligibility to sit/waive into the next bar exam.
