Overview

A law firm with extensive experience established in Chicago is seeking a highly experienced Employee Benefits (ERISA) & Executive Compensation Partner to join its Human Resources and Employment Practice. This attorney will have significant experience counseling clients on all aspects of employee benefits and executive compensation matters, including qualified retirement plans, ERISA requirements, healthcare and welfare plans, non-qualified deferred compensation plans and stock option agreements. Responsibilities

Advise on design and implementation of all types of qualified retirement plans including 401(k) plans, pension plans, profit-sharing plans, ESOPs and other defined benefit plans. Advise on ERISA requirements and review employee retirement plans to ensure legal compliance; understand the controlled group rules and analysis for employee benefits plans. Structure and administer healthcare plans (medical and dental), welfare plans (life and other insurance) and cafeteria plans in compliance with ERISA, COBRA, HIPAA, the Americans with Disabilities Act and the Family and Medical Leave Act (FMLA). Counsel on design and implementation of executive compensation plans and agreements, including non-qualified deferred compensation, bonus and other incentive plans, stock option agreements, phantom stock plans, restricted stock awards and other supplemental retirement arrangements. Advise on all employee benefits and executive compensation issues that may arise during mergers and acquisitions, including due diligence, determining benefit plan liability exposure, merging target plans into acquiring plans, establishing new tax-qualified retirement plans, designing new equity-based compensation arrangements and addressing overlapping or costly benefit programs; handle all administrative and operational issues related to implementing retirement, health and welfare, and executive compensation plans. Demonstrate strong interpersonal and communication skills and act as a business advisor to clients, guiding them through financial, business and tax-related matters throughout their life cycle; build relationships with current clients and develop additional business. Exhibit exceptional leadership to step into a leadership role and develop an Employee Benefits & Executive Compensation group within the Firm. Portable book of business is required. Qualifications

Significant experience counseling clients on the design and implementation of qualified retirement plans including 401(k), pension, profit-sharing, ESOPs and other defined benefit plans. Experience advising on ERISA requirements and reviewing retirement plans for compliance. Strong understanding of ERISA, COBRA, HIPAA, ADA and FMLA as they relate to health, welfare and retirement plans. Experience counseling on executive compensation plans and agreements, including non-qualified deferred compensation, bonuses, stock options, phantom stock and restricted stock. Experience advising on benefits and compensation issues in mergers and acquisitions; due diligence and integration planning. Licensed in Illinois or eligible for comity, with ability to waive in or sit for the IL bar; relocation candidates considered if they meet requirements.
